Terms of Representation
The within sets forth the general terms upon which HotMales Model Management, LLC arranges Engagements between its represented Gentlemen and inquiring Patrons. These Terms apply to every confirmed Engagement and are incorporated by reference in every intake.

§01
Scope of Representation
HotMales Model Management, LLC (the “Agency”) is a private talent representation house operating in the State of New York and abroad. The Agency exclusively represents the adult male artists set forth on its current roster (each, a “Gentleman”), together with such additional artists as may, from time to time, be added at the sole discretion of the Founder.
The Agency arranges editorial sittings, brand engagements, private receptions, dinners, retreats, residencies, and such other engagements as the Founder, in her judgment, deems consistent with the Gentleman’s portfolio and the standing reputation of the house (collectively, the “Engagements”). The Agency does not arrange engagements outside of the foregoing scope and does not respond to inquiries concerning the same.
§02
Intake and Acceptance
All Engagements commence with a written intake submitted through the office. No Engagement is deemed accepted, and no representation arises, until the intake has been reviewed by the Director of Client Relations, forwarded (where appropriate) to the Founder, and confirmed in writing to the inquiring party (the “Patron”) by the office.
The Agency reserves the absolute and unqualified right to decline any intake, in whole or in part, without statement of reason, and is not obligated to acknowledge a declined intake by reply.
§03
Deposit and Settlement
All confirmed Engagements require a deposit of fifty percent (50%) of the agreed compensation, settled in good funds and received by the office no fewer than seventy-two (72) hours in advance of the Engagement. Overnight, multi-night, and extended residency Engagements are settled by wire transfer only.
The balance of compensation, together with any incidental disbursements (including but not limited to wardrobe, travel, and per diem), is due upon conclusion of the Engagement. Settlement in cash is acceptable subject to a written counter-signed receipt prepared by the Gentleman.
The Agency does not accept payment by personal cheque, cryptocurrency, or instruments drawn upon institutions outside of the European Economic Area, the United States, and the United Kingdom.
§04
Cancellation, Postponement, and Force Majeure
Cancellations communicated to the office not later than seventy-two (72) hours prior to the commencement of the Engagement entitle the Patron to a credit, applied to a future Engagement at the discretion of the office, equal to fifty percent (50%) of the deposit. Cancellations within seventy-two (72) hours forfeit the deposit in full.
The Patron acknowledges that the Gentleman retains the unqualified right to decline or terminate any Engagement at any stage, at the Gentleman’s sole discretion, without forfeiture of compensation already paid and without further obligation on the part of the Agency.
Neither the Agency nor the Gentleman is liable for any failure or delay in performance occasioned by acts of God, civil disturbance, labor unrest, weather, regulatory action, or the unavailability of the Gentleman’s preferred vehicle.
§05
Discretion and Identity
The Agency and each Gentleman are bound by the Agency’s Discretion Policy, which is incorporated herein by reference and forms part of these Terms. The Patron acknowledges that breach by the Patron of the Discretion Policy is grounds for immediate termination of all current and prospective Engagements, with forfeiture of any deposit and credit on account.
The Agency does not confirm, in any forum, the identity of its Patrons, the dates of confirmed Engagements, the residences at which Engagements are conducted, or the compensation paid in respect of any Engagement. The Agency similarly does not confirm the non-occurrence of any of the foregoing.
§06
Indemnification
The Patron shall indemnify, defend, and hold harmless the Agency, the Founder, the staff of the office, and each Gentleman against any and all claims, demands, actions, costs, and expenses (including reasonable counsel fees) arising out of or in connection with the Patron’s conduct prior to, during, or following any Engagement, including without limitation any claim brought by any spouse, partner, household member, attorney-in-fact, executor, board, or biographer of the Patron.
§07
Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to its conflicts-of-law principles. The exclusive venue for any dispute arising hereunder shall be the Supreme Court of the State of New York, New York County, or, where applicable, a confidential arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
The Patron irrevocably waives any objection to the foregoing venue and consents to the personal jurisdiction of the foregoing forum, notwithstanding the Patron’s domicile, vehicle of incorporation, or theatrical persona.
§08
Acknowledgement
By submitting an intake to the office, the Patron acknowledges (i) that the Patron is eighteen (18) years of age or older, (ii) that the Patron has read and understood these Terms together with the Discretion Policy and the Code of Conduct, and (iii) that the engagement of the Agency is for the purposes set forth in these Terms and no other.
These Terms, together with the Discretion Policy, the Code of Conduct, and any written confirmation of a confirmed Engagement, constitute the entire understanding between the parties and supersede any prior correspondence, conversation, or implication.
